1. Company Information

Glaife is operated by Mitryco, LLC. References to "Glaife", "we", "our", or "us" in these Terms mean Mitryco, LLC.

2. Acceptance of Terms

By accessing or using Glaife, you agree to these Terms of Use. If you useGlaife on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

3. Services

Glaife provides a platform for building and running AI support agents, including:

• Configuring agents, their instructions, their models, and the tools they may call.
• A knowledge base the agent answers from.
• A chat widget you embed on your own website for your end users.
• Escalation from an agent to a human on your team.
• Transcripts, run logs, usage costs, and analytics for the conversations.

4. Accounts and Responsibilities

• Provide accurate account information and keep it updated.
• Keep credentials confidential and secure.
• Promptly notify us of unauthorized access.
• Manage the roles you grant within your workspace, and the access those roles carry.
• Use Glaife in compliance with applicable laws, including the data protection laws that apply to the end users your agent talks to.

5. Your End Users and Your Disclosures

You deploy the agent, you write its instructions, and you decide what it is able to do on your website. You are responsible for telling your end users that they are talking to an AI agent where the law requires it, for having a lawful basis to process what they tell it, and for your own privacy notice covering that. We process those conversations on your instructions, as described in our Privacy Policy.

6. Customer Data

You and your organization retain ownership of the data and content you submit toGlaife, including agent configuration, knowledge base content, conversation transcripts, and uploaded files. You grant us a limited non-exclusive license to host, process, and transmit that data solely to provide, secure, and support the services in accordance with these Terms and our Privacy Policy. We do not use your data to train AI models.

7. Third-Party Services and Credentials

Glaife connects to services you supply, such as your helpdesk, store, and order systems. Those run under your own accounts and API keys, on your own terms with those vendors, and any fees they charge are yours. You are responsible for the credentials you store with us and for keeping them valid. We are not responsible for the availability, output, pricing, or data practices of a service you connect. Where your order form provides for it, an AI model provider may also be connected under your own key and terms; otherwise we supply the model and bill its usage separately as set out in your order form.

8. AI Output Disclaimer

An AI agent can be wrong. Replies may be inaccurate, incomplete, or unsuitable, and an agent may be manipulated by a determined end user into saying something you did not intend. You are responsible for what your agent tells your end users, for reviewing and constraining its instructions and tools, and for any commitment, quote, or advice it appears to give on your behalf. Do not configure an agent to give medical, legal, financial, or safety-critical guidance without appropriate human review.

9. Acceptable Use

You agree not to:

• Use Glaife for unlawful, harmful, deceptive, or fraudulent activity.
• Submit personal data you have no right to process or share.
• Deploy an agent that impersonates a person in a way that misleads your end users about who or what they are talking to.
• Attempt to disrupt or probe the service, or to gain access to another organization's workspace, conversations, or credentials.
• Upload malicious code or content that violates third-party rights.
• Reverse engineer or otherwise attempt to derive source code.
• Resell, sublicense, or commercially exploit Glaife without permission.

10. Fees, Billing, and Renewals

Fees consist of a monthly service fee and separate usage-based charges, agreed individually with your organization. Your order form specifies the service scope, usage billing basis, rates, and billing periods. AI model usage is not included in the service fee unless your order form expressly says otherwise. We will provide notice before any new charge applies. You are responsible for applicable taxes and for any service you connect under your own account.

11. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy.

12. Intellectual Property

Glaife and all related software, branding, and content are owned by us or our licensors and protected by law. These Terms do not grant you ownership of our intellectual property. The widget you embed carries your branding, not ours, and nothing here grants you rights in our marks.

13. Service Availability and Changes

Glaife is under active development. We may modify, suspend, or discontinue features from time to time. We do not guarantee uninterrupted availability, and an agent may be unable to reply if a service it depends on, including the AI model provider or a system you connected, is unavailable.

14. Warranty Disclaimer

To the maximum extent permitted by law, Glaife is provided "as is" and "as available" without warranties of any kind, express or implied, including any warranty that AI output will be accurate or fit for a particular purpose.

15. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data. Our total liability will not exceed the amount you paid us in the 12 months before the claim.

16. Indemnification

You agree to indemnify and hold harmless Mitryco, LLC and its affiliates, officers, and employees from claims, losses, and expenses arising out of your use ofGlaife, your content, the operation of the agents you deploy, or your breach of these Terms, to the extent permitted by law.

17. Termination

We may suspend or terminate access if you violate these Terms. You may stop usingGlaife at any time. Sections that by their nature should survive termination will survive.

18. Governing Law

These Terms are governed by the laws of Delaware, excluding conflict of law rules, unless mandatory law in your jurisdiction requires otherwise.

19. Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the service or by other reasonable means. Continued use of Glaife after the effective date of updated Terms constitutes acceptance.
